1. The Terms and Conditions of İnnova Bilişim Çözümleri A.Ş. ("İnnova") are open to all employees ("Employee") of İnnova. Before applying for the Program, the Employee agrees to participate by reading and accepting all descriptions and participation conditions of the İnnovatif Düş'ün program, available at www.innovatifdusun.com.tr. Employees participate in the Program by submitting innovative ideas/projects ("Idea").
For convenience, "Party" refers to either the Employee or İnnova and "Parties" refers to both collectively.
2. İnnova, as an idea generator and project developer, aims to achieve the following while determining principles and rules regarding ownership, protection, evaluation, commercialization, and profit-sharing of intellectual property:
3. Participation methods: İnnovative ideas are collected from İnnova employees via the İnnovatif Düş'ün Idea Submission Form on the https://innova.com.tr/İnnovatifdusun website.
4. These Terms and Conditions are based on Law No. 5846 on Intellectual and Artistic Works, Industrial Property Law No. 6769, and other legal regulations, including regional and international agreements.
5. The Compensation Committee will evaluate the economic value, the employee's contribution, and other relevant factors of the ideas generated by the employees.
6. The Idea submitted by the Employee for the Project must not violate general morals, etiquette, or legal rules, infringe upon others' personal rights, damage commercial reputation, support violence or racism, offend moral sentiments, or be used for political propaganda. The Idea should not contain corporate advertising, product promotions, or content that leads to unfair competition.
7. If there are claims that the Idea infringes upon third-party intellectual property rights, the Employee who submitted the Idea to the Project will be solely responsible for these claims. The Employee will take necessary legal precautions regarding using the Idea by third parties.
8. İnnova shall not be liable for any third-party learning of or claiming rights over the Idea or project shared by the Employee, or for the use, registration, etc., of the Idea or project by third parties.
9. The Employee declares and guarantees that the Idea submitted for the Project is their original work and does not contain any third-party content. In case of a breach of this clause, the Employee will be solely responsible for any claims or lawsuits against İnnova and will compensate İnnova for any resulting damages.
10. If the Employee's idea/project is not considered a free invention, they are obliged to keep it confidential. Individuals aware of the idea/product must not disclose or utilize it. Similar rules apply to other intellectual properties.
11. Employees should carefully review contracts and legal provisions to avoid disputes with third parties. In case of ambiguity or issues, Employees must immediately notify İnnova. Employees should avoid signing any agreements that contravene these Terms and Conditions.
12. The Employee agrees in advance that if their Idea is not original, unique, or is a commonly known or foreseeable practice, lacks distinguishing features from existing or imminent banking practices, or pertains to applications likely to be implemented soon due to technological advancements, İnnova may use this Idea as-is or in a modified form without the Employee's objection, subject to the Employee's approval at the time of sale or transaction.
13. By participating in the Project, the Employee agrees that the financial rights arising from Law No. 5846 on Intellectual and Artistic Works, such as processing, dissemination, reproduction, and public transmission of the Idea, will be jointly utilized by İnnova and the Employee. İnnova will determine the scope of this joint use during the evaluation phase and within the framework of benefits provided to the employee. It is explicitly stated that İnnova reserves all rights over service inventions created by its employees as the employer.
14. İnnova may decide to apply for protection of the reported idea/product in certain countries according to national, regional, and international legal regulations. For this purpose, services from a firm capable of filing patent applications in the respective country may be obtained. Specific rules apply to each intellectual property according to its unique nature.
15. The Parties agree to waive their rights in favor of the other Party if it is decided not to protect the reported idea/product for the other Party. 16. Employees participating in the Project hereby accept the rules established and announced by İnnova. İnnova will exclusively monitor compliance with these Terms and Conditions, and in case of disputes, İnnova's records will be the basis.
